1. Agreement to These Terms
By accessing or using Casenta Legal, you agree to these Terms of Use and the Casenta Legal Privacy & Security Policy. If you use Casenta Legal on behalf of a law firm, company, government body or other organisation, you represent that you are authorised to use the service on its behalf and to bind that organisation to these Terms.
If your organisation has entered into a separate written subscription agreement, order form or other customer agreement with Casenta Legal (a "Customer Agreement"), that Customer Agreement prevails to the extent of any inconsistency with these Terms. Where a Customer Agreement is silent on a matter addressed here, these Terms continue to apply.
The Casenta Legal Privacy & Security Policy is incorporated into these Terms. Where both documents address the same subject, the Policy governs the specific technical and operational detail, while these Terms govern contractual risk and liability.
2. The Casenta Legal Service
Casenta Legal provides software designed to assist with legal matter management and intelligence, including document processing, issue and evidence analysis, Case Map development, matter questioning, findings, Matter Position synthesis, deadlines, activity records and team collaboration.
Features may be added, changed, improved, restricted or discontinued as the platform develops.
3. Professional Use & Responsibility
Casenta Legal is intended to support qualified and authorised professionals and their teams. Users remain responsible for their professional work and decisions.
- Verify material information against appropriate source documents.
- Exercise independent professional judgment.
- Comply with applicable professional, ethical, court and regulatory obligations.
- Determine whether information may lawfully and appropriately be uploaded or disclosed.
- Ensure that deadlines, legal authorities and critical facts are independently checked where required.
4. Accounts, Teams & Authorised Users
Users must provide accurate account information and keep credentials confidential. Accounts may not be shared in a way that defeats Casenta Legal access controls or applicable subscription limits.
Organisation Owners and authorised administrators are responsible for managing their organisation's users, roles and matter assignments, including promptly deactivating users who no longer require access.
You are responsible for activity carried out through your account where that activity results from your failure to reasonably protect credentials or authorised access.
5. Your Matter Data
As between the customer and Casenta Legal, the customer retains its rights in documents, matter information and other content it lawfully submits to the service ("Customer Data").
You grant Casenta Legal the limited rights necessary to host, transmit, process, analyse, back up and otherwise handle Customer Data for the purpose of providing, securing, supporting and maintaining the Casenta Legal service.
You represent that you have the necessary authority, permission or lawful basis to submit Customer Data to Casenta Legal and to instruct Casenta Legal to process it. You are responsible for the consequences of submitting Customer Data without that authority, permission or lawful basis, including under Section 15 (Indemnification).
Casenta Legal does not sell Customer Data, turn Customer Data into an advertising asset, or use Customer Data to train artificial intelligence models. Customer Data is processed to operate the Casenta Legal service, not to be monetised elsewhere.
6. Artificial Intelligence & Human Review
Casenta Legal uses artificial intelligence and automated processing to assist with functions such as extraction, classification, issue identification, evidence organisation, question answering, findings and matter synthesis.
AI systems can produce incomplete, inaccurate or misleading output. Casenta Legal is designed to reduce this risk through human-review workflows, but no AI output should be assumed to be correct merely because the platform generated it.
- AI-proposed material may require editing.
- AI-generated proposals may be accepted, rejected or held for investigation.
- Users should verify material conclusions against appropriate source information.
- AI output does not constitute legal advice from Casenta Legal.
7. Confidentiality, Privacy & Security
Casenta Legal recognises that legal matters can contain confidential, privileged, commercially sensitive and personal information. Casenta Legal uses technical and organisational safeguards designed to protect information and restrict unauthorised access.
Uploaded source documents and extracted document segments are encrypted at rest using industry-standard encryption. Casenta Legal uses secure indexing techniques to support targeted retrieval of encrypted material without storing indexed document text itself in plaintext. Authorised content is decrypted as required for processing, review and retrieval. Specific technical measures may change as the security architecture develops. Current safeguards are described in the Privacy & Security Policy.
No security measure can guarantee against every possible unauthorised access, loss or disclosure. Casenta Legal's safeguards are designed to reduce risk, not provide an absolute guarantee. Liability arising from a security incident is subject to Section 14.
Users must also take reasonable security precautions, including protecting credentials, assigning appropriate permissions and notifying Casenta Legal promptly of suspected unauthorised access.

8. Acceptable Use
You must not use Casenta Legal to:
- access information or matters you are not authorised to access;
- upload information unlawfully or in breach of applicable confidentiality obligations;
- interfere with, probe, attack or circumvent platform security;
- introduce malicious software or harmful code;
- use another person's credentials without authorisation;
- reverse engineer or attempt to extract protected platform source code except where such restriction is prohibited by law;
- resell or commercially exploit access except under an authorised Casenta Legal arrangement;
- use the service for unlawful, fraudulent or abusive activity.
9. Intellectual Property
Casenta Legal and its associated software, interface, workflows, branding, documentation, database structures, platform design and proprietary functionality are owned by or licensed to Casenta Legal and are protected by applicable intellectual-property laws.
These Terms give you a limited, non-exclusive, non-transferable right to use Casenta Legal during your authorised subscription or access period. They do not transfer ownership of the Casenta Legal platform or its underlying intellectual property.
10. Subscriptions, Fees & Account Limits
Paid Casenta Legal services may be offered according to subscription plans, organisation size, team-member limits, usage allowances or other commercial terms disclosed when the service is purchased or agreed.
Applicable fees, billing cycles, taxes, renewal arrangements and cancellation terms will be those displayed or agreed for the relevant subscription. Fees and charges accrued before termination or cancellation remain payable.
Casenta Legal may apply reasonable technical or usage limits associated with a plan and may require an account to move to an appropriate plan where agreed limits are exceeded.
11. Availability, Maintenance & Changes
Casenta Legal aims to provide a reliable professional service, but uninterrupted or error-free availability cannot be guaranteed. Maintenance, security work, third-party outages, infrastructure failures or circumstances beyond reasonable control may occasionally affect availability.
Casenta Legal may deploy updates and security changes where reasonably necessary to operate, protect or improve the service.
New, experimental or beta features may be offered on an opt-in or preview basis. Beta features are supplied "as is", may be incomplete or unstable, and may be changed or withdrawn at any time without notice.
12. Third-Party Services
Casenta Legal may use or integrate third-party services, including infrastructure, hosting, communications and AI providers. Those services may be subject to separate technical, availability and data-processing arrangements.
Casenta Legal is not responsible for independent third-party websites or services outside its control merely because the platform links to them, or for errors, downtime, output or conduct originating from provider systems outside its reasonable control. This does not affect Casenta Legal's responsibility for reasonably selecting and overseeing providers used to deliver the service.
13. No Warranty of Legal Outcome
Casenta Legal does not warrant that use of the service will produce a particular legal, commercial, litigation, settlement, investigative or regulatory outcome.
Matter outcomes depend on facts, evidence, law, procedure, professional judgment and circumstances outside the control of the software.
14. Disclaimers & Limitation of Liability
14.1 Disclaimer
To the maximum extent permitted by applicable law, Casenta Legal is provided on an "as available" basis. The only warranties are those that cannot lawfully be excluded, together with the remedies that accompany them. Casenta Legal gives no other warranty, express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement.
14.2 Exclusion of indirect loss
To the maximum extent permitted by law, Casenta Legal is not liable for indirect, incidental, special, consequential or exemplary loss, or for loss of profit, revenue, business opportunity, goodwill, or loss or corruption of data. This applies whatever the basis of liability and even if the possibility of loss was advised.
14.3 Liability cap
Casenta Legal's total aggregate liability to a customer arising from these Terms or use of the service is limited to the greater of:
- the total fees that customer paid to Casenta Legal in the twelve months immediately before the event giving rise to the claim; and
- AUD 100.
This cap applies whether the claim is in contract, tort (including negligence), under statute or otherwise.
14.4 Customer Agreements
If a Customer Agreement specifies a different liability cap, that cap applies instead to the extent stated in that agreement.
14.5 Application
These limitations apply to the fullest extent permitted by law and separately to each customer. They do not apply to liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any non-excludable right, guarantee or remedy under the Australian Consumer Law or equivalent law.
15. Indemnification
You agree to indemnify, defend and hold harmless Casenta Legal, its officers, employees, contractors and licensors from claims, losses, liabilities, damages, costs and reasonable legal fees arising from or relating to:
- your breach of these Terms, including the representations in Section 5 or restrictions in Section 8;
- Customer Data you submit, including claims that its submission or processing infringes third-party rights or breaches confidentiality;
- your use of the service in breach of professional, ethical, court or regulatory obligations; or
- unauthorised account access arising from your failure to reasonably protect credentials.
This indemnity does not apply to the extent a claim arises from Casenta Legal's own breach, negligence or wilful misconduct. Casenta Legal will give prompt notice of a claim and will not settle it by admitting liability on your behalf without your consent, which must not be unreasonably withheld.
16. Suspension & Termination
Access may be suspended or terminated where reasonably necessary because of non-payment, material breach of these Terms, unlawful use, a security threat or other serious misuse of the platform.
Where reasonably practicable, Casenta Legal will seek to provide notice and an opportunity to address a remediable issue before permanent termination.
Data access, export, retention and deletion following termination may be subject to the applicable subscription agreement, legal requirements, retention obligations and the Privacy & Security Policy.
Fees and charges accrued up to the date of termination remain payable.
When an account is terminated, access to its data is disabled. The data is retained for at least 30 days before it is scheduled for deletion from production systems. Once deleted, the account and its data cannot be recovered.
17. Feedback
If you provide suggestions or feedback about Casenta Legal, you permit Casenta Legal to use that feedback to improve the service without transferring ownership of your Customer Data, confidential legal material or client files.
18. Changes to These Terms
Casenta Legal may update these Terms as the platform, commercial arrangements or applicable legal requirements develop. Material changes will be communicated or published as appropriate. Continued use after revised Terms take effect may constitute acceptance where permitted by law.

19. Entire Agreement & Non-Reliance
These Terms, the Privacy & Security Policy and any applicable Customer Agreement form the entire agreement between you and Casenta Legal about use of the service. They replace earlier discussions, negotiations and understandings on that subject.
Each party acknowledges that it has not relied on a representation, warranty or undertaking not expressly set out in those documents. This does not apply where reliance cannot lawfully be excluded, including misleading or deceptive conduct under the Australian Consumer Law or equivalent law, fraud or fraudulent misrepresentation.
20. Assignment
You may not assign or transfer your rights or obligations under these Terms without Casenta Legal's prior written consent. Casenta Legal may assign or transfer these Terms in connection with a merger, acquisition, corporate reorganisation or sale of all or substantially all relevant assets, provided the assignee agrees to be bound by them.
21. Governing Law
Unless a Customer Agreement specifies a different governing law or dispute forum, these Terms are governed by the law of Queensland, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Queensland, Australia, for disputes arising from these Terms or the service.
Where a Customer Agreement specifies a different governing law or dispute forum, those agreed terms apply to the extent stated in that agreement.
22. General
If a provision of these Terms is held unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision immediately does not necessarily waive the right to enforce it later.
